Zeewolde, The Netherlands, 28 October 2011 - Swedish Automobile N.V. (Swan) announces that it entered into a memorandum of understanding with Pang Da and Youngman for the sale and purchase of 100% of the shares of Saab Automobile AB (Saab Automobile) and Saab Great Britain Ltd. (Saab GB) for a consideration of EUR 100 million.
Final agreement between the parties is subject to a definitive share purchase agreement between Swan, Pang Da and Youngman, which will contain certain conditions including the approval of the relevant authorities, Swan's shareholders and certain other parties. The consideration of EUR 100 million will be paid in instalments. An important consideration for Swan to enter into the transaction is the commitment of Pang Da and Youngman to provide long term funding to Saab Automobile.
The administrator in Saab Automobile's voluntary reorganisation, Mr. Guy Lofalk, has withdrawn his application to exit reorganisation. The MOU is valid until November 15 of this year, provided Saab Automobile stays in reorganisation.

(Swan) and Saab Automobile AB (Saab Automobile) confirm that the reorganization is progressing and that a first payment by Youngman under the bridge loan funding commitment as announced on September 12 was received by Saab Automobile.

SAAB AUTOMOBILE VOLUNTARY REORGANIZATION FILING APPROVED
Zeewolde, The Netherlands, 21 September 2011 - Swedish Automobile N.V. (Swan) announces that Saab Automobile AB and its subsidiaries Saab Automobile Powertrain AB and Saab Automobile Tools AB (collectively Saab Automobile) received approval for their proposal for voluntary reorganization from the Court of Appeal in Gothenburg, Sweden today. The purpose of the voluntary reorganization process is to secure short-term stability while simultaneously attracting additional funding, pending the inflow of the equity contributions by Pang Da and Youngman.

The Swedish Company Reorganization Act says that an application shall not be approved unless there is reasonable cause to assume that the purpose of the reorganization will be achieved. In today's decision, the Court of Appeal has found that such conditions exist, thereby overturning an earlier ruling by the District Court in Vänersborg, Sweden.

As a consequence of the Court of Appeal ruling, Saab Automobile will request for the bankruptcy filings by unions IF Metall, Unionen and Ledarna to be cancelled.

SAAB AUTOMOBILE SIGNS EUR 70 MILLION TECHNOLOGY LICENSE AGREEMENT
Zeewolde, The Netherlands, 12 September 2011 - Swedish Automobile N.V. (Swan) announces that Saab Automobile AB (Saab Automobile) signed a technology license agreement with a special purpose vehicle named Swedish Automobile coöperatief U.A. (SPV). The license agreement relates to the non-exclusive rights in Saab Automobile's Phoenix architecture technology for a consideration of EUR 70 million.
As part of the transaction, Youngman has also signed a technology license transfer agreement with the SPV on purchasing the license and providing a guarantee for its payment of the license. This commitment of Youngman and the technology license agreement between Saab Automobile and the SPV are part of a bridge financing transaction. This bridge financing transaction and receipt of funds by Saab Automobile are still subject to finalization of definitive transaction documentation with the lender that will provide the bridge loan. 
It is the intention to repay the bridge loan with the proceeds of the EUR 245 million equity investment of Pang Da and Youngman, which is still subject to approval of the relevant authorities.

We announced earlier today that Saab Automobile AB (Saab Automobile) filed for reorganization with the District Court in Vänersborg, Sweden today. With this letter, we would like to tell you more about what the process means and why we have chosen to take this step, and what it will entail for you as a distribution partner.

So why did we decide to file for reorganization? Since securing the long-term funding through conditional agreements with Pang Da and Youngman, who both support this reorganization, we have focused on securing funding to bridge the period until we receive their funds. We have concluded that a reorganization process will provide us with the necessary time, protection and stabilization of the business, allowing salary payments to be made, short-term funding to be obtained and an orderly restart of production to be prepared.

The proposed reorganization will be a self-managed, legal process under Swedish law headed by an independent administrator appointed by the court who will work closely with the Saab Automobile management team. As part of the process, Saab Automobile has formulated a reorganization plan, which includes a number of aspects aimed at lowering its cost-base and creating a viable, competitive and independent organization.

Following court approval, the reorganization will be executed over an initial period of three months. If required, the reorganization period can be extended by another three months, up to a maximum of twelve months. SWAN and Saab Automobile are confident that they will secure additional short-term funding for the reorganization period and are currently in negotiations with several parties about obtaining such funding. Funding for Saab Automobile to exit reorganization has been secured through binding agreements with Pang Da and Youngman as announced on July 4, which agreements are, however, subject to obtaining certain approvals.

The reorganization process will cover Saab Automobile AB, Saab Automobile Powertrain AB and Saab Tools AB. All other entities, including Saab Parts AB and all overseas entities such as Saab Great Britain and Saab Cars North America, are excluded from the reorganization.

The reorganization plan contains a blueprint of how Saab Automobile's Management expects to improve Saab Automobile's business model with an emphasis on an independent, lean and competitive organization. Many key elements of Saab Automobile's original business plan remain, as Management believes the objectives of the overall strategy remain intact. Through the roll-out of a fully rejuvenated product portfolio, partnerships with Chinese firms Pang Da and Youngman that will ensure access to the world's largest and fastest growing market, and a strong and global brand, Saab Automobile is well-positioned to realize its objective of becoming a viable independent premium car manufacturer.

In order to make the reorganization process a success, we will need your support as well. Swedish Automobile N.V. (SWAN) and Saab Automobile AB (Saab Automobile) today announced the signing of final agreements with Pang Da Automobile Trade Co., Ltd. (Pang Da) and Zhejiang Youngman Lotus Automobile Co., Ltd. (Youngman), thereby converting the non-binding memorandum of understanding relating to the equity investment of Pang Da and Youngman announced on 13 June 2011 into binding agreements subject to regulatory and other third party approvals. Moreover, Saab Automobile announces a conditional agreement with Zhejiang Youngman Passenger Car Group Co., Ltd. (Youngman Passenger Car) on the formation of a Sweden-based joint venture company for the development of three new product Saab models (NPJV).

The non-binding MOU announced on 13 June 2011 between SWAN, Saab Automobile, Pang Da and Youngman in terms of which Pang Da and Youngman will make an equity investment in the total aggregate amount of EUR 245 million in SWAN have now been incorporated in binding agreements, while the parties continue working towards execution of binding agreements for a strategic alliance consisting of a tripartite distribution joint venture and a tripartite manufacturing joint venture for Saab-branded and child brand vehicles in China. The agreements are subject to approval from relevant authorities. The agreements allow for the return of Mr. Vladimir Antonov as a shareholder/financier of SWAN and Saab Automobile which the parties expect as soon as the parties at interest have cleared him.

The NPJV will be 50 percent owned by Saab Automobile and 50 percent by Youngman Passenger Car, and forms the foundation for an expansion of the Saab product portfolio with three models which until now did not form part of Saab Automobile's current and future product portfolio. As such the NPJV will focus on developing three completely new Saab vehicles: the Saab '9-1', Saab '9-6' and Saab '9-7'.

Within the development process of these three new vehicle lines, Saab Automobile will be responsible for controlling and managing the design, the development and testing process to the start of production and providing other necessary technical and quality control support. For this, Saab Automobile will source existing capabilities and expertise from its state-of-the-art technical development department in Trollhättan. Youngman Passenger Car will be responsible for providing the necessary financial investments in the joint venture.

The agreement on NPJV is also subject to approval from relevant authorities, which SWAN, Saab Automobile and Youngman Passenger Car hope to obtain timely.

Zeewolde, The Netherlands, 13 June 2011 - Spyker Cars N.V. (Spyker) announces today that Spyker, Saab Automobile AB (Saab Automobile), Pang Da Automobile Trade Co., Ltd (Pang Da) and Zhejiang Youngman Lotus Automobile Co., Ltd. (Youngman) signed a non binding memorandum of understanding (MOU). The MOU includes an equity participation in the total aggregate amount of about EUR 245 million as well as a strategic alliance consisting of a three partite distribution joint venture and a tripartite manufacturing joint venture for Saab branded and child brand vehicles in China.

On 16 May 2011 Spyker and Saab Automobile signed a memorandum of understanding (the 16 May MOU) with Pang Da, China's largest publicly traded automobile distributor with over 1,100 dealerships nationwide. That 16 May MOU included a strategic alliance consisting of a 50/50 distribution joint venture (DJV) and a manufacturing joint venture (MJV) for Saab branded vehicles as well as for an MJV owned brand (the so-called 'child brand') in China. It was agreed that Saab Automobile would have up to 50 percent in the MJV, with Pang Da and a to-be-selected manufacturing partner owning the remaining shares. Pang Da and Saab Automobile have now agreed with Youngman to become the manufacturing partner in the MJV (in which Youngman will take 45% of the shares, Saab 45% and Pang Da 10%) and the DJV in which Youngman will take 33% of the shares, Pang Da 34% and Saab Automobile 33%.

Under the May 16 MOU, Pang Da would take an equity stake in Spyker for a total amount of EUR 65 million, representing 24 percent of Spyker on a fully diluted basis. With Youngman entering as a new shareholder in Spyker, the equity stake of Pang Da in Spyker will remain at 24 % raising its investment to EUR 109 million. The share price remains at EUR 4.19 per share and Pang Da will have the right to nominate up to two members of the Supervisory Board of Spyker.

Youngman will take a 29.9 % interest in Spyker on a fully diluted basis investing EUR 136 million at EUR 4.19 per share. Youngman will have the right to nominate up to two members of the Supervisory Board of Spyker.

Spyker, Saab Automobile, Pang Da and Youngman will set up joint ventures with respect to the manufacturing of Saab branded and child branded vehicles and the distribution of Saab branded and child branded vehicles for the China market. Saab Automobile and Youngman will each have a 45% interest in the manufacturing JV and Panda will hold the remaining 10%. Saab Automobile and Youngman will each have a 33% interest in the distribution JV and Pang Da will hold 34%.

The MOU is non binding and the transactions following the MOU are subject to agreement on definitive transaction documents and certain conditions, which include consents from certain governmental agencies and third parties.

Zeewolde, The Netherlands, June 1 2011 - Spyker Cars N.V. (Spyker) and Saab Automobile AB (Saab Automobile) today announced that Pang Da Automobile (Pang Da) has placed an additional order for 630 Saab vehicles. The order is valued at EUR 15 million and follows the successful visit to Saab Automobile's facilities in Trollhättan last week by a number of senior Pang Da representatives, headed by Chairman and CEO Mr. Pang Qinghua.
The order comes on top of the 1,300 cars that Pang Da ordered for EUR 30 million and both orders are part of the broader tentative agreement between Spyker and Pang Da which was signed on May 16. As with the EUR 30 million order, Pang Da will pay the additional order up front and Saab Automobile expects to receive the funds this week. Delivery of the vehicles will start in the fall of this year.

(Spyker Cars) and Saab Automobile AB (Saab Automobile) confirm that Pang Da Automobile (Pang Da) has entered procedure discussions with Chinese authorities, including the National Development and Reform Commission (NDRC), to obtain regulatory approvals for the investment in Spyker Cars and Saab Automobile.

Spyker Cars is to be renamed Swedish Automobile N.V. shortly. The general meeting of shareholders has decided so.

Victor Muller, CEO of Spyker Cars and Saab Automobile, said:
"Based on our discussions with Pang Da we are confident that Pang Da will get the regulatory approvals needed to formalize the deal. I am very much looking forward to creating a strong business with Pang Da, initially in the distribution and subsequently in the manufacturing of Saab vehicles in China. What needs to be pointed out is that Pang Da's advance payment and sales of imported Saab cars are not subject to approval from the NDRC. The first advance payment of EUR 30 million was received last Tuesday."

Mr. PANG Qinghua, CEO of Pang Da, said:
"The initial procedure discussions we have had with the NDRC were done in good spirit and all parties have a good understanding of the process going forward. We remain convinced that we will be able to get all the necessary documentation and approvals to successfully complete the transactions and look forward to our visit at Saab Automobile's headquarters in Trollhättan, Sweden, later this week."

He came directly to the factory from his flight and got up on stage, but when he was greeted by applause, he simply said: "I'm not here to get applause. I'm here to apologize.”

Yesterday, several thousand people gathered in the final assembly area to hear what Muller had to say after the latest round talks during the turbulent situation that Saab is in. It was a speech that came straight from the heart, and it had a message that said, above all, ‘never give up'.

“I'm going to get us out of this if it's the last thing I do - it is my responsibility," said Muller. He spoke about the current media climate in Sweden, and how it can sometimes feel as if you are living inside a glasshouse when working for Saab. Everything, absolutely everything, is examined in enormous detail. In parallel with the monitoring of the company's situation, there is also interest in Saab's great new products, which should be seen as a good sign for the future, said Muller. The recent test drive reports of the 9-4X are a good example.

What happened in China?
Employees also heard Victor Muller's explanation of why it turned out as it did with Hawtai - they had the will to complete the deal but ran into insurmountable obstacles and challenges within China's regulatory framework for their type of business.

Now it is a new situation with Pang Da. "It is hard to imagine how big they actually are,” said Muller. “This deal means that we can relax the pressure in terms of short-term financing because they are buying cars from us. This does not need to be approved by their authorities.”

He added that the Pang Da deal not only benefited Saab, but was of mutual interest.
“There were quite a few people in China who thought it was a good idea to do business with us, which we saw yesterday when Pang Da's shares rose over four percent.”

Challenges remain
There are many challenges ahead for Saab. One is to conclude discussions and negotiations with suppliers. Production then has to start up again. Here you must have a realistic plan, explained Muller, and we must realize that it will not happen overnight. Furthermore, there are still elements that must fall into place, with important conditions to be met and obstacles that must be removed. Decisions are also being made by bodies outside Saab's control. All the difficulties are still not over.

"But we have learned that the situation can change quickly. Very quickly,” said Muller. “Do not forget that it can change on the positive side. In addition, we have learned our lesson. We must equip ourselves for the future and every conceivable turn of event. And I will continue my efforts to identify good deals for Saab, which will help us build stability for the future.”

Muller praised the workforce who stood before him, pointing out how they had stood behind the company and what a strength they were for Saab. He then left the scene with these final words: “Never, ever, give up. Never give up, ever.”
And we thought the words ‘give up' were not even in his vocabulary!


Tuesday's factory activity

"We had the factory staff in yesterday for a variety of jobs, not least the test runs," explains production manager Stig Runesson.

In the Press and Body shops, staff dismantled old equipment and then carried out test runs on the new equipment. The Body shop concentrated mainly on training for fitting new parts when the 9-5 SportCombi is put into production, such as the tailgate. The Press shop also ran trials in the trimming of sheet metal parts for the wagon. And the factory conducted a workshop in efficiency.

In the Paint shop, staff operated the line for approximately half a day. About 80 9-5 SportCombi bodies went through painting to get the pre-series cars ready. The same time was also taken up examining the results of the operation and the process was found to have worked well.

Several activities were carried out in Assembly. The Pilot Team, for example, worked at new stations for the 9-5 SportCombi with those teams who are affected by the changes.

(Spyker) announces today that Spyker and Saab Automobile AB (Saab Automobile) signed a Memorandum of Understanding (MoU) with Pang Da Automobile Trade Co., Ltd (Pang Da), China's largest publicly traded automobile distributor with over 1100 dealerships nationwide. The MoU includes a strategic alliance consisting of a 50/50 distribution joint venture and a manufacturing joint venture (MJV) for Saab branded vehicles as well as for an MJV-owned brand (the so-called 'child brand') in China. Saab Automobile will have up to 50 percent in the MJV, with Pang Da and a to-be-selected manufacturing partner owning the remaining shares.

Pang Da shall make a EUR 30 million payment for the purchase of Saab vehicles and is expected to make an additional EUR 15 million for the purchase of more Saab vehicles within 30 days subject to certain circumstances. Additionally, Pang Da will take an equity stake in Spyker for a total amount of EUR 65 million at EUR 4.19 per share (the weighted average of the ten last trading days), representing 24 percent of Spyker on a fully diluted basis, and will have the right to nominate a member of the Supervisory Board of Spyker and /or the Board of Saab Automobile.

• Spyker, Saab Automobile and Pang Da signed an MoU on the formation of a joint ventures with respect to distribution and manufacturing in the Greater China market, subject to definitive transaction documentation and certain regulatory approvals.
• Pursuant to the MoU, Pang Da will transfer EUR 30 million to Saab Automobile as payment for the purchase of Saab vehicles and an additional EUR 15 million within 30 days for the purchase of additional vehicles depending on certain circumstances.
• Pang Da will take an equity participation in Spyker for a total amount of EUR 65 million at EUR 4.19 per share representing up to 24 percent of Spyker's outstanding share capital on a fully diluted basis.

Detroitas, JAV. General Motors ir Spyker Cars NV šiandien patvirtino, kad susitarė dėl Saab Automobile AB pardavimo-įsigijimo. Spyker ketina sukurti naują įmonę Saab Spyker Automobiles, kuri rūpinsis Saab prekiniu ženklu.

Pranešimas spaudai iš GM: DETROITAS — General Motors ir Spyker Cars NV šiandien patvirtino, kad susitarė dėl Saab Automobile AB pirkimo-pardavimo sutarties.

"Šiandieninis pranešimas yra puikios žinios Saab darbuotojams, dileriams ir tiekėjams, geros žinios milijonams Saab klientų ir fanų visame pasaulyje, ir taip pat geros žinios GM”, sakė John Smith, GM viceprezidentas korporacijos planavimams ir alijansams.

“General Motors, Spyker Cars, ir Švedijos vyriausybė dirbo labai daug ir kūrybingai, kad užtikrintų ši sandorį ir ateitį šiam unikaliam ir ikoniniam prekiniui ženklui, ir mes visi labai džiaugiamės šia teigiama pabaiga”, sakė Smith.

Kaip dalis sutarties, yra tai, kad Spyker ketina sukurti naują kompaniją, Saab Spyker Automobiles, kuri rūpinsis Saab prekiniu ženklu. Pardavimas dar turės būti patvirtintas vyriausybės ir teismo atitinkama tvarka. Kitos pardavimo sąlygos bus atskleistos vėliau.

Švedijos vyriausybė dabar peržiūrinėja šį sandorį ir su juo susijusį vyriausybės garantijų prašymą Saab Automobile paskolai kaip yra prašoma iš EIB. Jei viskas vyks sklandžiai, tikimasi, kad sandoris bus užbaigtas jau vasario mėn. viduryje, o pranešti anksčiau Saab uždarymo veiksmai, yra stabdomi nedelsiant.

“Vykstant deryboms, GM visada tikėjosi, kad bus rastas sprendimas ir Saab išvengs uždarymo”, sakė Nick Reilly, GM Europe prezidentas. “Mes dirbome su daug pusių per pastaruosius metus, tame tarpe su vyriausybėmis ir investuotojais, ir aš tikrai laimingas, kad mes priėjome tokią pabaigą, kuri išsaugos darbus Švedijoje ir kitur. UAB "Piliakalnis" autocentras jau pradėjo veiklą naujame moderniame 2000 kv. m. Saab autocentre šalia taip vadinamos "pagrindinės Lietuvos sankryžos", vakariniame Kauno apvažiavime.

Naujasis Saab 9-3 automobilis - žinomai maratono bėgikei Živilei Balčiūnaitei ! 2007 m. rugsėjo mėn. 22 d. 12. val. Vilniaus centre, Gedimino pr. (prie Seimo rūmų) vyko tarptautinis 10 km bėgimas “Bėkime kartu su Živile Balčiūnaite” ir atviras Lietuvos 10 km bėgimo plentu čempionatas.

Šio renginio metu Živilei Balciūnaitei oficialūs Saab atstovai perdavė asmeniniam naudojimui naują Saab 9-3 automobilį bei originalų Saab dviratį.
